Kessel Design – Terms and Conditions

1. Introduction
These Terms and Conditions govern all services provided by Kessel Design (“we”, “us”, “our”) to the client (“you”, “your”). By engaging our services, you agree to these terms.
2. Services
We provide web design, branding, development, and related digital services as outlined in agreed proposals or quotations.
3. Quotations & Scope
- All quotes are valid for 30 days unless stated otherwise.
- Work will follow the agreed scope.
- Additional work outside scope may incur extra charges.
4. Payment Terms
- A 50% non-refundable deposit is required before work commences, unless a payment schedule has been agreed in writing prior to the project start.
- The remaining balance is due upon completion or per agreed schedule.
- Invoices must be paid within 14 days unless otherwise stated.
- We reserve the right to pause work if payments are overdue.
5. Late Payments
Late payments may incur interest at a rate of 1% above the Bank of England base rate, calculated from the due date until payment is received in full. We reserve the right to suspend services and withhold deliverables until all outstanding balances are settled.
6. Revisions & Approvals
- A reasonable number of revisions are included.
- Additional revisions may be charged.
- Approved work may incur charges if changes are requested later.
7. Client Responsibilities
- Provide required content and materials promptly.
- Ensure rights to all provided assets.
- Give timely feedback and approvals.
8. Intellectual Property
All work remains the property of Kessel Design until full payment is received. Upon full payment, ownership of final deliverables transfers to the client unless agreed otherwise.
9. Third-Party Services
We are not responsible for third-party services such as hosting, domains, or plugins unless explicitly included.
10. Project Timelines
Timelines are estimates and may vary depending on client responsiveness and project complexity.
11. Cancellation & Termination
Projects may be terminated by either party in writing. Clients must pay for all work completed up to termination. Deposits are non-refundable.
12. Liability
We are not liable for indirect or consequential damages. Liability is limited to fees paid.
13. Warranty & Support
Work is delivered to a professional standard. Ongoing support must be agreed separately.
14. Confidentiality
Both parties agree to keep confidential information private.
15. Governing Law
These terms are governed by the laws of England and Wales.
16. Amendments
We may update these terms at any time. The latest version will apply to all new agreements.
